KARACHI: Unity Foods Limited has confirmed that management control of the company has been assumed by Wilmar International under a shareholders’ agreement signed in December 2025, as legal proceedings between key shareholders remain pending before a court of law.
In an official statement issued on Tuesday, the company said that the change in management followed a Shareholders’ Agreement dated December 21, 2025 between Farrukh Amin and Wilmar International Ltd., along with resolutions passed at a meeting held on December 23, 2025.
Under the agreement, Wilmar International assumed management control with immediate effect and appointed a chief executive officer and chief financial officer approved by the international agribusiness group.
The company said the appointed chief executive officer resigned on Feb 13, 2026, while the chief financial officer continues to serve in the role. Financial management and reporting functions remain under Wilmar International’s authority in accordance with the governance framework outlined in the agreement.
Unity Foods noted that shareholder proceedings between Wilmar International and Mr Farrukh Amin are currently pending before a competent court, and the matter is sub judice.
“As such, the company is constrained from commenting further on issues under adjudication,” the statement said.
The company added that it continues to operate in compliance with regulatory requirements applicable to listed companies and remains committed to protecting stakeholder interests and enterprise value.
Unity Foods also reserved the right to respond to any statements it considers inaccurate or misleading.
